Choose authority and availability together

A GST authorised signatory acts for the registrant in the portal processes for which that person is authorised. The primary authorised signatory is particularly important for communications and verification. Choose the role deliberately rather than making whoever is available to receive an OTP the permanent signatory.

The person must have appropriate authority from the business and be able to carry out the actual work. A director, partner, proprietor or employee may have different sources of authority. An outside preparer who types an application is not automatically entitled to sign every declaration on behalf of the registrant simply because the business pays a professional fee.

Distinguish the people in the workflow

Write down who prepares data, who checks it, who approves tax payments, who signs and who monitors notices. One person may hold several roles in a small business, but the responsibilities should still be understood. This prevents a common gap where the accountant assumes the owner checks the portal and the owner assumes the accountant receives every notice.

GSTN's registration form has separate sections for promoters or partners, authorised signatories and authorised representatives. It also provides a way to mark a promoter or partner as an authorised signatory. Use the correct role and check auto-populated details; being listed as an owner or stakeholder does not always settle the signatory setup automatically.

An authorised representative or GST practitioner arrangement serves a different function from the signatory appointment. Do not give someone ownership information or mark them as a partner simply because they help with filings. The registration profile should reflect the real constitution and actual appointment, with the preparer's access arrangements handled separately.

Prepare the appointment record

Use an authorisation, resolution or other appropriate appointment record for the entity concerned, with acceptance where required by the process. Identify the business, appointed person and role clearly. Check that the person giving authority can do so under the entity's current governance records, rather than relying on an unsigned note from a junior employee.

Keep the appointment date and any limit on authority in the internal file. The portal role and internal instructions should agree on who may submit applications. A business can require management approval before a filing, but that instruction should be practical and known to the signatory rather than buried in an old engagement letter.

GSTN's normal registration manual requests proof of appointment and a photograph in the signatory section. Follow the live document and format requirements. Upload readable evidence naming the actual appointee, not a resolution authorising a predecessor or an unrelated person whose DSC happens to be available.

Check identity, contacts and authentication

Verify the name, PAN, date of birth and other required personal details against reliable records. Use current residential and contact information. Where the person is also in the promoter or partner section, check consistency across both roles, especially after changes in a draft application.

Choose email and mobile channels that remain accessible to the business through an organised process. A personal number belonging to someone leaving next month is a poor permanent control. The selected person must also be able to receive the relevant verification messages and complete Aadhaar or other authentication steps communicated for the application.

Aadhaar-linked contacts and GST-registered contacts can differ. Understand which channel receives the application link and which receives the Aadhaar OTP. Do not forward identity OTPs through a group as a routine substitute for the selected person completing authentication. Verification is tied to the individual whose identity is being authenticated.

Prepare the signing method

GSTN's registration manual states that companies and LLPs must digitally sign using a DSC. Check the appointed person's valid certificate, PAN alignment and portal setup. A different employee's working DSC is not a suitable workaround for an expired certificate belonging to the authorised person.

For other entities, use the method permitted for the relevant form and circumstances. Do not assume every portal action uses the same signing route. Test the official utility setup and keep certificate renewal dates in the control calendar. The owner should know who holds the signing device and how continuity will be handled during absence.

Illustratively, a four-person engineering company appoints its finance manager as signatory while a director approves filings. Before the manager submits a ₹2.4 lakh tax payment and return, the director reviews the underlying reconciliation. The appointment evidence supports the manager's portal role, and the approval record shows the business's internal review without pretending the two people performed identical tasks.

Ask the chosen person to review a sample declaration before appointment. They should understand that signing confirms business facts, not merely successful data upload. If they cannot obtain the supporting sales or purchase records from the preparer, resolve that access gap before giving them routine responsibility for submissions.

Build a replacement and absence plan

Keep a current list of signatories, their primary status and contact details. Identify who acts when the main person is unavailable, subject to proper authority and the portal's requirements. A signatory change should be completed through the prescribed amendment process; sharing a departed employee's credentials indefinitely is not a transition plan.

Review appointments when staff leave, directors change or a professional engagement ends. Update authority records and the GST profile together, while preserving earlier filing evidence. Confirm where notices and acknowledgements arrive after any change so important communications do not continue to an unmonitored address.

The best signatory choice is someone whose authority, identity and availability can be demonstrated. Clear records and a workable approval process keep the business accountable while allowing its advisers and staff to do their assigned work efficiently.
